<p>The Service may enable access to the Hubstaff Talent and the parties’ websites, as well as the websites of third parties (collectively, the "Websites"). The Websites may display, include, or make available content, data, information, applications or materials from third parties, including your data, or provide links to additional third-party websites ("Data and Materials"). By using the Service, you acknowledge and agree that Hubstaff is not responsible for examining or evaluating the content, accuracy, completeness, timeliness, validity, copyright or trademark compliance, legality, decency, quality or any other aspect of the Websites. Hubstaff does not warrant or endorse and does not assume and will not have any liability or responsibility to you or any other person for any data and materials on the Websites. To the extent you choose to access such Websites, you do so at your own initiative and are responsible for compliance with any applicable laws, including, but not limited to, applicable local laws. Hubstaff reserves the right to change, suspend, remove, or disable access to the Websites at any time without notice. In no event will Hubstaff be liable for the removal of or disabling of access to any such Websites. Hubstaff may also impose limits on the use of or access to certain Websites, in any case and without notice or liability. You agree to use the Websites at your sole risk and that Hubstaff shall not have any liability to you for content that may be found to be offensive, indecent, or objectionable.</p>
<h5>User content</h5>
<p>You agree that all information, data, text, sound, photographs, graphics, video, software, or other materials submitted, posted or displayed by you on or through the Service ("User Content") is your sole responsibility. Hubstaff claims no ownership or control over any User Content. By submitting, posting or displaying User Content on or through the Service, you grant Hubstaff a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, and adapt, such User Content to provide the Service to you. By submitting, posting or displaying User Content which is intended to be shared or made available to the general public, including through Hubstaff Talent, you grant Hubstaff a worldwide, non-exclusive, royalty-free license to reproduce, adapt, distribute and publish such User Content through the Service and for the purpose of promoting Hubstaff and its services.</p>
<p>As a condition of using the Service, you agree not to use the Service to infringe the intellectual property rights of others in any way. You represent that you have the right to grant, or that the holder of any rights, including moral rights in such content has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant, the license stated above. If you post User Content in any public area of the Service, you also permit any User to access, display, view, store and reproduce such User Content for personal use. Subject to the foregoing, the owner of such User Content placed in the Service retains any and all rights that may exist in such User Content.</p>

Hubstaff reserves the right to expel Users and prevent their further access to the Services for violating these terms or applicable laws, rules or regulations. Hubstaff may take any action with respect to User Content that it deems necessary or appropriate in its sole discretion if it believes that such User Content could create liability for Hubstaff, damage Hubstaff’s public image or business. It is Hubstaff’s policy to terminate the accounts of any Users who are repeat infringers of the copyrights, or other intellectual property rights, of others.</p>
<p>Any profile you submit must accurately describe you, as an individual person, or an agency or organization that you are authorized to create a profile for. Profiles derived from User Content may be made available through the Service. Hubstaff does not make any representations regarding the accuracy or validity of such derived profiles, which may differ significantly from User Content.</p>

Nothing contained on this Web site or in these terms of service grants to you, by implication or otherwise, any license or right to use any Trademarks displayed on this Web site without the written permission of Netsoft Holdings, LLC or such other third party that may own the displayed Trademarks.</p>

<h4>Removal from our Affiliate Program</h4>
<p>Hubstaff reserves the right to remove affiliates at our discretion. While we can remove affiliates at any time and for any reason, most removals will be because of one of the following reasons:</p>

<p>Bidding on PPC keywords that were not approved by our affiliate team.</p>
</li>
<li>
<p>Using strategies that we deem as “spammy”.</p>
</li>
<li>
<p>Not disclosing your affiliate relationship with your audience with reasonable means.</p>

<p>Disguising your affiliate link as a coupon or deal link.</p>
</li>
<li>
<p>Posting your link on coupon & deal websites.</p>
</li>
</ul>
<h4>Social Media</h4>
<p>You may promote Hubstaff only on social media platforms that allow affiliate links in their terms of service. You may promote Hubstaff only with the permission of the page/profile manager or administrator, or on pages/profiles that you administer or manage.</p>
<p>You shall not:</p>
<p>(a) run Facebook ads with the Hubstaff trademarks; or</p>
<p>(b) create a social media account that includes the Hubstaff trademarks in the page name and/or username.</p>
<h4>Coupon And Deal Sites</h4>
<p>We do not allow affiliate marketing on coupon or deal sites where the affiliate link is being disguised as a coupon or deal. We reserve the right to blacklist specific domains of coupon sites and disqualify any traffic, signups, or commissions that are generated from these sites.</p>
<h4>Pay Per Click (PPC) guidelines</h4>
<p>Affiliates must get written permission before running PPC campaigns with keywords that might compete with Hubstaff’s PPC campaigns. You can simply contact your affiliate manager for permission to run PPC campaigns and include the keywords you intend to bid on.</p>
<p>You:</p>
<p>(a) Shall not bid on any of the Trademarks, including any derivations, variations, or misspellings thereof, for search or content-based campaigns on Google, MSN, Yahoo, Facebook, or any other platform or network;</p>
<p>(b) Shall not use the Trademarks in sequence with any other keyword (e.g., Hubstaff free trial);</p>
<p>(c) Shall not use the Trademarks in your ad title, ad copy, display name, or as a display URL;</p>
<p>(d) Shall not direct link to the Website or Related Site, as applicable, from any PPC ad or use redirects that yield the same result unless you have written consent from Hubstaff;</p>
<p>(e) Must direct your PPC links to an actual page on your website;</p>
<p>(f) Must add the Trademarks as negative keywords and exclude the Trademarks from your program if you automate your PPC campaigns; and</p>
<p>(g) Shall not purchase search engine keywords that outrank or outbid any Trademarks.</p>
<h4>Links</h4>
<p>Links in your materials must:</p>
<p>(a) Be in accordance with this Agreement and any other specifications that Hubstaff may provide to you from time to time in connection with the Program;</p>
<p>(b) Link directly to the Website or Related Site, as applicable, with no redirection, site framing, pop-up windows, downloaded software, toolbars, browser plug-ins or extensions; and</p>
<p>(c) Not be false, misleading, or masked. Any banners and Links must come from our approved list of banners and Links provided directly to you by Hubstaff or via your PartnerStack account, and you must use only the HTML code we provide for each banner or Link.</p>
<p>You may not:</p>
<p>(a) Engage in cookie stuffing; or</p>
<p>(b) Tamper with any linking codes provided for sales tracking.</p>
<h4>Specifying a valid customer</h4>
<p>A “Valid Customer” is a real person who:</p>
<p>(a) Clicks a Link located on Affiliate’s website or other materials;</p>
<p>(b) Is directed to the Website or Related Site, as applicable;</p>
<p>(c) As a result of such click, completes a Hubstaff account registration for a U.S. company that is not already a Hubstaff customer or Hubstaff lead for which Hubstaff already has information (a “Registration”);</p>
<p>(d) Provides legitimate information at the time of such Registration; and</p>
<p>(e) Adds an employee to the Hubstaff account for which the Registration was completed within thirty (30) calendar days of such Registration.</p>
<h4>Content</h4>
<p>You shall not create, design, or operate any website in a manner that:</p>
<p>(a) Resembles or frames the Website or Related Site, as applicable;</p>
<p>(b) Distributes toolbars, browser plug-ins, extensions, or downloadable software;</p>
<p>(c) Redirects internet traffic to or from another website.</p>
