You hereby agree that your Website will not in any way copy, resemble, or mirror the look and feel of any of our Websites. <p dir="ltr">If you are enrolled in our Program and participate in PPC advertising, you must adhere to our PPC Guidelines as follows:</p>

<p dir="ltr" role="presentation">You may not bid on any of our Trademarked Terms (defined below), including any variations or misspellings thereof for search or content-based campaigns on Google, Yahoo, Bing, Ask or any other network.</p>

<li aria-level="1" dir="ltr">
<p dir="ltr" role="presentation">You may not use our Trademarked Terms in sequence with any other keyword (i.e. Wyzant Coupons or Rosetta Stone Coupons).</p>
</li>
<li aria-level="1" dir="ltr">
<p dir="ltr" role="presentation">You may not use our Trademarked Terms in your ad title, ad copy, display name or as the display url.</p>
</li>
<li aria-level="1" dir="ltr">
<p dir="ltr" role="presentation">If you automate your PPC campaigns, you are responsible for excluding our Trademarked Terms from your program; we strongly suggest you add our Trademarked Terms as negative keywords. We have a strict zero tolerance policy on PPC trademark bidding, and any such conduct that has not been previously approved by us in writing shall result in you forfeiting all commissions for a minimum of 30 days prior to the violation.</p>

<p dir="ltr">If you are enrolled in our Program and your Website promotes coupon codes, you must adhere to our Coupon Guidelines as follows:</p>

<p dir="ltr" role="presentation">You may ONLY advertise coupon codes and offers that are provided to you through Moonrover.</p>
</li>
<li aria-level="1" dir="ltr">
<p dir="ltr" role="presentation">You may NOT advertise promotions obtained from our non-affiliate advertising, customer e-mails, paid search, or any other campaign.</p>
</li>
<li aria-level="1" dir="ltr">
<p dir="ltr" role="presentation">On click through, you must link directly to one of our Websites. Framing of any of our Websites is strictly prohibited.</p>

<li aria-level="1" dir="ltr">
<p dir="ltr" role="presentation">Cookie Stuffing: You must not mislead customers into clicking on an offer/coupon that does not exist or practice similarly deceptive tactics which are generally accepted as "cookie stuffing." These include, but are not limited to: using knowingly expired offers, presenting offers that do not exist, presenting a button that claims to show all offers which sets the affiliate cookie, and technology which generates a click/sets the cookie from the action of copying a coupon code.</p>

<p dir="ltr" role="presentation">Affiliate sites may not have "Click To Reveal,""Click for (or to see) Deal/Coupon," or any variation thereof, where clicking the link does not lead to an actual coupon or deal, but merely opens the merchant site or sets a cookie. Violators are subject to immediate removal from the Program.</p>

<p dir="ltr">Unless you have been given express written permission, if you are found to be engaging in any of the aforementioned practices, we reserve the right to reverse any/all sales generated. If your Website participates in forums where active users of your Website can submit coupon codes, it is your responsibility to ensure that the coupon codes submitted do not violate our Coupon Guidelines.<br />

<p dir="ltr">Domain Names</p>
<p dir="ltr">Use of any of our trademarked terms as part of the domain or sub-domain for your website (i.e., <a href="http://wyzant.website.com/">wyzant.website.com</a> or <a href="http://www.ixl-coupons.com/">www.ixl-coupons.com</a>) is strictly prohibited and may result in immediate expulsion from the Program. </p>
<p dir="ltr">Advertising and Publicity</p>
<p dir="ltr">You shall not create, publish, distribute, or permit any written material that makes reference to our Program without first submitting such material to us and receiving our prior written consent. If you intend to promote our Program via e-mail campaigns, you must adhere to the following:<br />

<p dir="ltr">Reversals<br />

<p dir="ltr">We take pride in our very low reversal rate, which we attribute to open communication with our Affiliates. However, we reserve the right to reverse orders due to order cancellations, duplicate tracking, returns, disputed charges, and Program violations as outlined in these terms. Any violation of these terms may result in immediate removal from the Program.</p>
<p dir="ltr">Social Media Usage</p>
<p dir="ltr">Affiliates are premitted to use social media to promote the affiliate program as long as they are not improperly using Trademarked Terms. Affiliates are also restricted from using any of our Trademarked Terms in their user ID or handle, or otherwise purporting to be the merchant.</p>
<p dir="ltr">Affiliates must respect the Terms of Service of any social networking site utilized in connection with this Program. </p>
<p dir="ltr">Mentions on streaming services (such as Twitter) can only be used a maximum of 5 times per day. Streams that consist solely of messages with direct links that do not engage in conversation are subject to immediate removal from the Program.</p>
<p dir="ltr">Sub Affiliate Networks - Third Party Tools</p>
<p dir="ltr">We work exclusively with affiliates approved through the Moonrover system. </p>
<p dir="ltr">Prohibition Against Solicitation for New York State Resident Affiliates</p>
<p dir="ltr">As a condition of its participation in our Affiliate Program, Affiliate agrees that its solicitation activities on our behalf within the State of New York shall be limited to only providing a link on Affiliate’s website to any of our Websites.</p>
<p dir="ltr">Affiliate acknowledges that under current New York State law, further solicitation and promotional activities by Affiliate within New York State may subject us to liability for collecting New York State sales tax on all sales to New York customers. Therefore, as a condition of participation in our Affiliate Program, Affiliate is prohibited from engaging in any solicitation activities in New York State intended to refer potential customers to any of our Websites, including, but not limited to: distributing flyers, coupons, newsletters and other printed materials, or electronic equivalents of such materials; engaging in verbal solicitation, including in-person referrals or initiating telephone calls; and sending emails intended to refer customers to any of our Websites.</p>

The following sentence only applies to Affiliates that constitute organizations, clubs and non-profit groups: Affiliate shall maintain prominently on its website information alerting its members to the prohibition against solicitation activities in New York State as described above.</p>
